2. ELIGIBILITY

2.1. Users must be at least eighteen (18) years old and legally capable of entering into binding contracts under Philippine law.

2.2. By purchasing or participating in any business program of the Company, the User represents and warrants that all information provided is true, complete, and accurate.

2.3. The Company reserves the right to refuse service, terminate accounts, or cancel transactions if fraudulent, misleading, or unlawful activities are detected.

3. NATURE OF BUSINESS

3.1. The Company operates through:

- Direct selling;
- Online retail and wholesale;
- E-commerce platforms;
- Dropshipping arrangements;
- Affiliate or referral programs; and
- Other lawful sales and marketing activities.

3.2. The Company does not guarantee income, profits, commissions, or financial success to any participant, reseller, distributor, affiliate, or dropshipper.

3.3. Any income representations made by independent sellers, distributors, affiliates, or resellers shall be considered their own statements and not those of the Company unless officially published in writing by the Company.

4. ACCOUNT REGISTRATION

4.1. Users may be required to create an account to access certain services or business programs.

4.2. Users are responsible for maintaining the confidentiality of their login credentials and for all activities conducted under their account.

4.3. The Company shall not be liable for unauthorized access resulting from the User’s negligence.

4.4. The Company reserves the right to suspend or terminate accounts for violations of these Terms.

5. PRODUCTS AND SERVICES

5.1. All products are subject to availability.

5.2. Product descriptions, pricing, images, specifications, and availability may change without prior notice.

5.3. The Company reserves the right to discontinue any product at any time.

5.4. Certain products may be subject to regulatory approvals, permits, certifications, or restrictions.

5.5. Users agree not to make unauthorized medical, therapeutic, health, or misleading claims regarding the products.

6. PRICING AND PAYMENT

6.1. All prices are stated in Philippine Peso unless otherwise indicated.

6.2. Prices are exclusive of shipping fees, taxes, customs duties, handling fees, and other applicable charges unless expressly stated otherwise.

6.3. Full payment must be received before processing and shipment unless otherwise approved by the Company.

7.4. The Company shall not be liable for delays caused by third-party couriers, suppliers, customs authorities, payment processors, or circumstances beyond its reasonable control.

8. SHIPPING AND DELIVERY

8.1. Delivery timelines are estimates only and are not guaranteed.

8.2. Risk of loss and ownership of products shall transfer to the Buyer upon turnover to the courier or logistics provider.

8.3. Buyers are responsible for providing accurate shipping information.

8.4. Additional charges due to incorrect addresses, failed delivery attempts, remote area surcharges, customs duties, taxes, or storage fees shall be borne by the Buyer.

8.5. International shipments may be subject to customs inspections, import restrictions, taxes, and duties imposed by the destination country.

9. DROPSHIPPING TERMS

9.1. The Company may allow qualified Users to participate in dropshipping activities.

9.2. Dropshippers are independent parties and are not employees, agents, or legal representatives of the Company.

9.3. Dropshippers may market and resell products subject to Company policies.

9.4. Dropshippers shall not:

- Misrepresent the Company or its products;
- Make unauthorized claims;
- Use misleading advertisements;
- Violate intellectual property rights;
- Engage in deceptive selling practices;
- Use spam marketing; or
- Conduct unlawful activities.

9.5. Dropshippers are solely responsible for:

- Their own business permits and registrations;
- Taxes and government compliance;
- Customer service obligations;
- Marketing activities;
- Platform compliance; and
- Compliance with applicable laws and regulations.

9.6. The Company reserves the right to terminate any dropshipping relationship for violations of Company policies or applicable laws.

10. DIRECT SELLING AND RESELLER POLICIES

10.1. Independent resellers, distributors, affiliates, and direct sellers are independent contractors and not employees of the Company.

10.2. No employment, partnership, joint venture, franchise, or agency relationship is created by participation in any Company program.

10.3. Participants shall comply with all applicable consumer protection, advertising, taxation, and business laws.

10.4. Participants shall not:

- Engage in deceptive or unfair trade practices;
- Use false earnings representations;
- Make unapproved product claims;
- Engage in unauthorized solicitation;
- Copy or misuse Company materials;
- Use the Company name without authorization; or
- Damage the reputation of the Company.

10.5. The Company may issue separate policies, compensation plans, reseller guidelines, or codes of conduct which shall form part of these Terms.

11. RETURNS, REFUNDS, AND EXCHANGES

11.1. Returns and exchanges shall only be accepted subject to Company policies.

11.2. Products must be returned unused, unopened, and in resalable condition unless defective.

11.3. Claims for damaged, defective, or incorrect items must be reported within [7] days from receipt.

11.4. Refund processing timelines may vary depending on the payment provider and internal verification procedures.

- Error-free operations;
- Specific business outcomes;
- Income or profits; or
- Uninterrupted delivery services.

16. LIMITATION OF LIABILITY

16.1. To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from:

- Use of products or services;
- Delayed deliveries;
- Loss of profits or income;
- System interruptions;
- Third-party actions;
- Business losses; or
- Unauthorized access.

16.2. The Company’s total liability, if any, shall not exceed the actual amount paid by the User for the specific product or transaction giving rise to the claim.

17. INDEMNIFICATION

Users agree to indemnify and hold harmless the Company, its officers, directors, employees, affiliates, suppliers, and partners from any claims, liabilities, damages, losses, costs, or expenses arising from:

- Violation of these Terms;
- Violation of laws or regulations;
- Misuse of products;
- Unauthorized representations;
- Business activities conducted by the User; or
- Infringement of third-party rights.

18. FORCE MAJEURE

The Company shall not be liable for delays or failure to perform obligations caused by events beyond its reasonable control, including but not limited to:

- Natural disasters;
- Pandemics;
- Government actions;
- Labor disputes;
- Supply chain disruptions;
- Transportation interruptions;
- Internet or system failures;
- Acts of war; or
- Other force majeure events.

19. TERMINATION

19.1. The Company reserves the right to suspend or terminate access to its services or business programs at its sole discretion.

19.2. Users may terminate their participation by providing written notice to the Company.

19.3. Obligations relating to confidentiality, intellectual property, indemnification, liabilities, and dispute resolution shall survive termination.

20. GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

21. DISPUTE RESOLUTION

21.1. Parties shall first attempt to resolve disputes amicably through good faith negotiations.

21.2. If unresolved, disputes shall be submitted to the proper courts of Quezon City, Philippines, to the exclusion of all other venues.

22. SEVERABILITY

If any provision of these Terms is declared invalid or unenforceable, the remaining provisions shall remain valid and enforceable.

23. NON-WAIVER

Failure of the Company to enforce any provision shall not constitute a waiver of its rights.

24. AMENDMENTS

The Company reserves the right to amend, revise, or update these Terms and Conditions at any time without prior notice.

Updated versions shall become effective upon posting on the Company’s website or official platforms.

25. ENTIRE AGREEMENT

These Terms and Conditions constitute the entire agreement between the User and the Company regarding the use of the Company’s products, services, and business programs.

ACKNOWLEDGMENT

By purchasing products, registering an account, participating in the Company’s programs, or using any Company platform, the User acknowledges that they have read, understood, and agreed to these Terms and Conditions.
